Romanian Trade Register number: J2015001483121. Unique registration code: 34526760. VAT identification number: RO34526760.

The status of each course, including any Romanian authorisation, the issuing body, eligibility requirements and the document awarded, is stated in its Course Description and confirmed before purchase. A reference to Informal School of IT, an educational activity code or a completion certificate does not, by itself, mean that a programme is state-accredited or recognised for a regulated profession in another country.
Consumer information and assistance are available from the Romanian National Authority for Consumer Protection at https://anpc.ro/. Information on alternative dispute resolution is available at https://reclamatiisal.anpc.ro/. See our Complaints and Consumer Redress page for details.
Website terms of use
Effective date: 20th of October 2026. Version 1.0.
1. About these terms
These terms explain how you may use informalschool.com and the website features operated by EDUCAȚIE INFORMALĂ S.A. References to “we”, “us” and “our” mean that company. Our identity and contact details appear in the Legal Notice.
Browsing the website does not enrol you on a course, create an obligation to pay or constitute consent to marketing, cookies or unrelated processing of personal data. Course purchases are governed by the Consumer Course Terms or Business Training Terms, as appropriate, and the Course Description or agreed order. Our Privacy Notice explains how we handle personal data; it is an information notice, not a request for blanket consent.
2. Information and availability
We take reasonable care to keep course information accurate. Course dates, teaching language, prerequisites, delivery method, duration, prices, taxes, access periods and certificate arrangements are confirmed before you enter a contract. An enquiry form or request for a quotation is not an order unless the interface expressly identifies it as such.
We may update general website information and temporarily interrupt features for maintenance or security. Updates do not retrospectively change an existing course contract. If a material error affects a proposed purchase, we will explain it and obtain your agreement to a corrected offer before proceeding. We do not reserve a general right to disregard binding descriptions, prices or consumer rights.
3. Accounts and acceptable use
Where an account is offered, provide accurate information relevant to the service, keep your credentials secure and contact us promptly if you suspect unauthorised access. Accounts and paid course access are personal unless a business order expressly permits another arrangement. Do not use another person's identity, share access beyond the permitted seats, interfere with the service, distribute malware, exploit vulnerabilities, access data without permission or use the service unlawfully.
We may restrict an account to address a material breach or a concrete security risk. We will explain the reason and allow a reasonable opportunity to resolve the issue where appropriate; immediate action may be necessary to protect people, data or the service. Any consequences for a paid service are governed by the applicable course terms and mandatory law. Restrictions must be proportionate and are not an automatic forfeiture of all payments.
4. Intellectual property
Website text, teaching materials, designs, trademarks, videos, software and other content are owned or licensed by their respective right holders. You may view the public website and save reasonable extracts for your personal reference, retaining copyright notices. Further rights to course materials are set out in your course terms.
You may not resell, republish, distribute or commercially exploit protected content without permission or another legal entitlement. Statutory exceptions, accessibility rights and third-party open-source licences remain unaffected. Contact info@scoalainformala.ro for permission requests. No right in a trademark is granted by access to the website.
5. Links and external tools
External websites and separately contracted third-party services have their own terms and privacy notices. We identify third-party tools that are required for a course, including material additional charges and technical requirements, before purchase. Linking to a third party does not remove our responsibility for services we contract to supply or for our selection and management of processors under data protection law.
6. Feedback and contributions
You retain your rights in content you submit. You grant us only the permission reasonably needed to receive, assess and respond to your enquiry or deliver the relevant service. Submission of an assignment, photograph, testimonial or project does not grant a general advertising licence. Public use of identifiable testimonials, participant images or a business customer's name or logo requires a separate appropriate permission.
7. Security concerns
Report suspected vulnerabilities or account compromise to info@scoalainformala.ro, with “Security” in the subject line. Do not send passwords, full payment-card data or unnecessary personal data. Do not access other people's information, disrupt the service or carry out testing without prior written authorisation. Reporting a concern does not itself authorise testing.
8. Responsibility and applicable law
We are responsible as required by applicable law. These terms do not exclude liability for fraud, intentional misconduct, gross negligence, death or personal injury where exclusion is prohibited, or any other liability that cannot lawfully be limited. They do not reduce rights under a paid course contract or mandatory consumer or data protection law.
Romanian law governs these website terms. If you are a consumer, this choice does not deprive you of mandatory protection available under the law that would otherwise apply, including the law of your habitual residence where the conditions for that protection are met. You may bring proceedings before any court available to you under mandatory jurisdiction rules. We may bring proceedings against you only before a court permitted by those rules. A dispute relating to a business order is governed by the jurisdiction clause validly agreed for that order.
9. Changes and contact
We publish the effective date of each version. A revised version applies prospectively to website use; changing a paid service requires the basis and procedure set out in its contract and applicable law. Contact us using the Legal Notice details if you have a question or need an accessible copy.
Consumer course terms
Effective date: 20th of October 2026. Version 1.0.
1. Supplier and scope
EDUCAȚIE INFORMALĂ S.A., trading as Informal School of IT, supplies the courses covered by these terms. Our registered office is Str. Henri Barbusse nr. 59–61, Clădirea C6, etaj IV, Cluj-Napoca, Cluj County, Romania. You can contact us at info@scoalainformala.ro or +40 374 494 848. Our registration, VAT and share-capital details appear in the Legal Notice.
These terms apply when you purchase as an individual for purposes outside your trade, business, craft or profession. Your actual purpose and the applicable law determine your consumer status; a label in a form does not remove statutory rights. If an employer purchases training, the Business Training Terms govern its purchase, while the participants receive the applicable learner information and privacy notice.
2. What you are purchasing
The Course Description and your order summary identify the programme, learning objectives, syllabus, teaching language, entry requirements, delivery format, start and end dates, session times and time zone, teaching hours, access period, assessment rules, certificate, total price and payment schedule. They also identify required equipment, software, accounts, internet connection, compatibility or interoperability limitations, third-party costs and the support included.
Live teaching, a downloadable file, access to recorded lessons and access to a learning platform may have different legal characteristics. We identify the components actually included in your purchase and, where relevant, their separate prices. The presence of a downloadable handout does not convert an entire live course into digital content supplied immediately.
Unless the Course Description expressly states otherwise, the course is for adults aged 18 or over, its price is a fixed course fee rather than an automatically renewing subscription, and we do not promise employment, a particular salary, admission to a profession or an individual learning outcome. We remain responsible for delivering the promised service with reasonable professional care.
3. Enrolment and formation of the contract
For a direct online purchase, you select a course, enter the required information, review the full order summary and correct errors before submitting. The final button clearly indicates an obligation to pay. A contract is formed when we send an email expressly accepting your order. An automated acknowledgement of receipt alone is not acceptance unless it expressly says so. Any payment taken for an order we do not accept is refunded in full without undue delay and no later than 14 calendar days after rejection.
Where admission depends on an assessment, eligibility check or a minimum cohort, this is explained before you apply or pay. We do not treat an application as a binding paid enrolment. The offer specifies the decision or confirmation date. If a conditional booking is not confirmed by that date, you may choose a separately agreed alternative or receive a full refund; silence does not mean acceptance of a different course.
For enrolment agreed by email or a separately signed agreement, our offer identifies how and when acceptance takes place. We send the accepted Course Description, these terms, withdrawal information and any required consents in a form you can retain, normally an email with attachments, before service starts. We retain the contractual record; you may request a copy. An online account is not the sole means of obtaining your contract.
The contract language is English unless another language is expressly agreed. Mandatory language requirements and rights arising from information provided in another language remain unaffected. A specific, expressly agreed course provision takes priority over a general provision only to the extent permitted by mandatory law. No later website update changes your accepted terms automatically.
4. Price and payment
Before you commit, we display the total price payable, the currency, all applicable taxes and compulsory charges, and any instalment amounts and due dates. Any separately purchased tool or service needed for participation is identified, with its price or a clear method of calculation. Optional extras require an active choice. We do not add charges by using pre-ticked options.
Where tax treatment depends on your location or another legally relevant fact, we establish and display the final total before the order is submitted. Our bank or payment provider details and the accepted payment methods are shown in the payment instructions. Your own bank may charge a conversion or transfer fee under your separate agreement with it.
An instalment arrangement divides the price of one course; it is not a subscription unless expressly described as one. If payment is late, we contact you and give at least seven calendar days to remedy the default before suspending paid access, unless a longer period is required by law. Any suspension or termination must be proportionate. We do not impose an undisclosed penalty or make all future instalments immediately payable merely because you exercise a statutory remedy.
5. Delivery and participation
We provide the teaching, resources, access and support promised in your Course Description. We tell you how to join, obtain materials and contact support. You are responsible for meeting the clearly disclosed prerequisites and using the required equipment and connection. If a problem relates to the service or a tool we supply, contact us promptly so we can investigate and provide an appropriate remedy.
Attendance, assignments, assessment and certificate criteria are provided before purchase. A completion certificate confirms only the achievement described in it. State-recognised certification is available only where expressly offered for an authorised programme and where the legal and assessment conditions are fulfilled. Recognition in another country or for a regulated profession is not automatic.
We do not record participants or activate automatic transcription by default under these terms. If recording is proposed, we provide separate advance information about its purpose, scope, audience, retention and lawful basis and address any required consent and a reasonable participation alternative. A mandatory teaching record cannot be repurposed for advertising without a separate lawful basis and permission where required.
6. Your fourteen day right to withdraw
For a distance contract covered by the consumer withdrawal rules, you may withdraw without giving a reason within 14 calendar days after the day on which the contract is concluded. To meet the deadline, send your withdrawal before the period expires. Where mandatory law gives you a longer period or additional protection, that protection applies.
Tell us by an unequivocal statement sent to info@scoalainformala.ro or our correspondence address. You may use the model withdrawal form on our Withdrawal page, but it is not compulsory. For contracts concluded through our online interface, you may also use the clearly visible “Withdraw from contract” function on the website during the applicable withdrawal period. It allows you to identify the contract and provide a delivery address for the acknowledgement, then submit using “Confirm withdrawal”. We send an acknowledgement without undue delay on a durable medium, including the content and the date and time of your submission. You do not need to telephone us or explain your decision.
We reimburse payments due to you without undue delay and within 14 calendar days after we are informed of your withdrawal. We use the same payment method unless you expressly agree otherwise, without imposing a reimbursement fee. The limited rules below concerning services started at your express request and digital content apply only if their legal conditions are met.
If we fail to provide the legally required withdrawal information, the statutory withdrawal period is extended as provided by law, potentially for up to 12 months after the original period. You do not lose that protection because the terms contain a general reference to consumer law.
7. Starting services during the withdrawal period
If you want live teaching or another service to start before the 14-day period expires, we obtain your express request separately. If you then withdraw before the service is fully performed, you pay only the proportion of the agreed total price corresponding to the service actually provided before you told us you were withdrawing, where the statutory information and request requirements have been met. If the total price is excessive, the calculation is based on the market value of what was supplied. No arbitrary administration fee or full remaining course charge replaces that calculation.
For a paid service, you lose the withdrawal right after full performance only if performance began with your prior express consent and acknowledgement that full performance would end that right. Attending the first session does not by itself end the right for the entire course. If the legal requirements for an early start or payment are not met, you do not bear the charges that the law excludes.
8. Digital content supplied during the withdrawal period
For separately identified paid digital content not supplied on a tangible medium, such as an immediately accessible recorded module, the withdrawal right is lost once supply begins only if you have given prior express consent to that supply, acknowledged that you thereby lose the right, and received the required contract confirmation. We obtain that consent and acknowledgement through a separate active choice and record it. Merely accepting these terms is not enough.
If those conditions are not met, the statutory withdrawal protection remains. Loss of a withdrawal right for a digital component does not remove rights concerning other components or remedies for lack of conformity. We do not treat all online teaching as immediately supplied digital content, and we do not automatically apply the fixed-date leisure exception to professional training.
9. Your other cancellation and transfer requests
After the applicable withdrawal period, a change of mind alone does not create an additional unconditional refund right under these terms. Contact us if you need to transfer a place, defer attendance or cancel; we will consider the available options in good faith. Any additional cancellation or transfer entitlement advertised for your course forms part of your contract.
If a cancellation charge is lawfully due, it must reflect the circumstances, the work already provided and reasonable unavoidable loss, taking account of costs saved and any replacement booking. We will explain its calculation. It will not exceed the remaining price and cannot override statutory withdrawal, conformity or termination rights. A missed session does not automatically oblige us to provide individual tuition, but we will provide the catch-up arrangements expressly included in your course.
10. Changes or cancellation by us
We may make minor reasonable changes that do not reduce the promised learning objectives, total teaching time, quality or access. A suitably qualified replacement instructor may teach a session unless a particular named instructor was an essential agreed feature. We inform you of relevant changes promptly.
If we propose a material change to the start date, timetable, delivery format, teaching language, total duration or essential course content, you may accept it or decline and obtain an appropriate refund for the affected service. If the remaining course no longer serves the agreed purpose, your termination and refund rights extend as required by law. We do not bind you to a replacement programme by silence.
If we cancel before teaching starts, we refund the entire amount paid for that course within 14 calendar days. If we cannot deliver a material part after it starts, we offer a suitable remedy or refund as required by law. A force majeure event requires notice, reasonable mitigation and an appropriate response to unperformed services; it is not a general right to keep payment for services never provided.
11. Quality and digital conformity
Services must match their description and binding pre-contract information and meet applicable legal standards. Where we supply digital content or digital services within the relevant consumer rules, these must meet contractual and objective conformity requirements, including promised functionality, compatibility, accessibility and security, and required updates. We provide security and other updates for the period required by law and inform you about their availability and installation.
If supply fails or something is not as promised, contact us with the relevant details. Depending on the circumstances and mandatory law, you may require supply, have the service brought into conformity free of charge within a reasonable time and without significant inconvenience, obtain a proportionate price reduction, or terminate and obtain reimbursement. You need not accept repeated ineffective remedial attempts. Immediate remedies may be available for a serious defect or where we refuse or cannot remedy it. These rights are additional to withdrawal rights.
For digital content or services, the statutory rules govern the liability period, burden of proof and remedies. Under Romanian Ordinance 141/2021, a single supply or a series of individual supplies is covered for lack of conformity existing at supply and identified within five years from supply; continuous supply is covered for the agreed supply period. The statutory burden-of-proof rules apply, including the trader's burden for conformity at supply where a defect in an individual supply is identified within one year. More protective mandatory rules remain available. These are legal rights, not a paid commercial warranty.
Where that Romanian legislation applies, bringing the digital content or service into conformity must take place within a reasonable period agreed in writing that does not exceed 15 calendar days from notification, without charge or significant inconvenience. A qualifying reimbursement following a price reduction or termination is due without undue delay and within 14 calendar days, through the original payment method unless you expressly agree otherwise, without a fee. Your statutory right to suspend a qualifying outstanding payment is preserved. On termination, eligible content that you supplied or created can be retrieved on request, free of charge, in a commonly used machine-readable format within a reasonable period not exceeding 15 calendar days, subject to the statutory exceptions; GDPR rights apply separately to personal data.
We will not materially modify continuing digital content or services beyond what is needed to maintain conformity unless the contract permits it for a valid reason, without extra cost, with the required information and safeguards. Where a modification adversely affects access or use beyond a minor extent, we provide advance notice on a durable medium and the statutory right to terminate without charge within the applicable period, including the 30-day period where required by the relevant digital-content rules, subject to their lawful exceptions.
12. Materials and learner work
You receive a personal, non-exclusive right to use the supplied course materials for your own learning and professional development. Access to hosted content lasts for the disclosed access period. Files expressly supplied for download may be retained for personal reference subject to their licence. You may not distribute or sell our materials, share paid access, publish recordings or use the materials to run competing courses without permission or another legal entitlement.
You retain your rights in your own original assignments and projects. You allow us to use them only as reasonably necessary to teach, assess and provide feedback. Public display, advertising and AI model training are not covered by that limited permission. Third-party materials and open-source code remain subject to their own licences. Demonstration code and AI outputs require appropriate review before use in production or for professional decisions.
13. Conduct and termination for breach
Respect other participants, confidentiality, intellectual property and security. Do not introduce malware, expose protected client or employer information, record other participants without permission or submit someone else's work as your own. We state the assessment rules concerning AI assistance before the assessment.
For a remediable material breach, we give notice and a reasonable opportunity to correct it before termination. Immediate restriction may be justified by serious harassment, a significant security risk or another serious breach. We explain the decision and provide a contact for review. Financial consequences are assessed proportionately under the contract and law; there is no blanket rule that all fees are forfeited.
14. Privacy and responsibility
Our Privacy Notice explains the data used to enrol you, deliver training, assess learning and meet legal obligations. Optional marketing, advertising cookies and promotional image use are separate choices. Refusal of those optional uses does not prevent you from purchasing a course.
We are responsible for breach of our obligations under applicable law. Nothing excludes or limits liability or remedies that cannot lawfully be excluded or limited, including statutory consumer rights, data protection rights and liability for intentional misconduct, gross negligence or injury where the law prohibits exclusion. We do not disclaim responsibility for all third-party technology used to perform our contract.
15. Complaints and disputes
Send complaints to info@scoalainformala.ro or the correspondence address in section 1, identifying your order and the outcome you seek. We aim to acknowledge complaints within two working days and provide a substantive response within 15 calendar days. If more time is reasonably needed, we explain why and give an expected response date. This internal target does not extend a statutory deadline or require you to delay exercising a legal right.
You may contact ANPC, the competent consumer authority in your country, an eligible alternative dispute resolution body or a competent court. Our Complaints and Consumer Redress page gives relevant links. You are not required to accept arbitration or mediation as the sole remedy. An internal complaint does not automatically suspend court or other statutory time limits.
16. Governing law and courts
Romanian law governs this contract. This choice does not deprive you of the protection of mandatory provisions of the law that would apply in the absence of that choice, including the law of your habitual residence where applicable. It does not require you to give up rights granted by the mandatory consumer laws of your country.
You may bring proceedings before the competent Romanian courts or any other court available to you under mandatory jurisdiction rules, including the courts of your domicile where those rules provide. We may bring proceedings against you only before the courts permitted by those rules. Nothing in these terms imposes exclusive Romanian jurisdiction on a consumer where that would restrict a protected choice of court.
Business training terms
Effective date: 20th of October 2026. Version 1.0.
1. Parties and contract documents
These terms govern training purchased for business or professional purposes from EDUCAȚIE INFORMALĂ S.A., trading as Informal School of IT. Our identity and contact details are in the Legal Notice. The person accepting an order on behalf of a business confirms their authority. Consumer status is determined by the actual transaction and applicable law, not solely by the invoice name or a checkbox.
The signed or expressly accepted order specifies the parties, training scope, cohort, syllabus, language, dates and time zone, teaching hours, format, deliverables, prerequisites, price, currency, tax treatment, payment schedule, access period and authorised representatives. No binding training order arises merely from an enquiry or quotation request. An accepted order and any specifically negotiated agreement prevail over these general terms to the extent of an express inconsistency. A data processing agreement governs processing undertaken on instructions, but does not automatically change the parties' roles for other activities.
2. Scope and participants
We deliver the agreed training with professional care through suitably qualified instructors. Unless expressly agreed, the engagement does not include production software, implementation, legal or financial advice, a security audit, certification of the customer's systems, licences or cloud and API usage charges. All essential excluded third-party costs must be identified before the order is accepted.
The customer designates participants and provides the necessary lawful business contact information. The agreed group price and seat limit apply; fewer attendees do not automatically reduce a fixed group price. Substitutions before the programme starts are permitted on reasonable notice if the replacement meets the prerequisites and any certification requirements. Later substitutions require agreement and must not undermine the programme or legal attendance conditions.
The customer supplies the agreed equipment, connectivity, software permissions and internal approvals. It tells us in advance about security restrictions that could affect the laboratories. We cooperate on reasonable alternatives. Participants are not personally liable for the customer's course fees unless they enter a separate agreement expressly creating that obligation and permitted by law.
3. Delivery and changes
The agreed syllabus, teaching hours and deliverables are contractual. Operational timetable adjustments may be agreed by the nominated contacts in writing. Material changes to scope, price, participant numbers or duration require express agreement. Website changes do not amend an existing order.
A party requesting rescheduling should normally give at least three working days' notice. We first seek a mutually workable alternative. Where the customer cancels a firmly booked session with less than two working days' notice, charges are limited to work provided and reasonable non-recoverable commitments after mitigation, unless an expressly negotiated order establishes another lawful arrangement. There is no double recovery for a replacement booking.
If we cannot provide a session for a reason attributable to us, we arrange an equivalent session at no extra cost. If an unperformed material element is not remedied within a reasonable time, the customer may terminate the affected element and recover the corresponding prepaid price, without prejudice to other contractual remedies.
4. Fees and acceptance
Fees, tax treatment, instalments and due dates are stated in the accepted order. A reference to a net business price does not represent that reverse charge or an education exemption is necessarily available; tax treatment follows the applicable law and verified customer status. Unspecified work or extra seats require an agreed change before charging.
For overdue undisputed amounts, we may claim the interest and recovery costs available under the applicable Romanian business-payment legislation, or a different lawful rate expressly agreed in the order, without double recovery. After written notice and at least five working days to remedy a material payment default, we may suspend the unperformed service proportionately. A reasonable dispute concerning part of an invoice does not excuse payment of its undisputed part.
We provide the agreed completion or activity report. The customer should identify specific delivery objections within five working days of receiving it. Silence does not waive a claim for a hidden defect or a breach that could not reasonably have been identified during that period. Participant outcomes, absences or failure to meet assessment criteria are not, by themselves, evidence that agreed teaching was not delivered.
5. Confidential information and safe laboratories
Each party protects confidential information received from the other, limits access to people who need it for the engagement, and uses it only for that purpose. Exceptions apply to information lawfully public, previously known, independently developed, lawfully obtained elsewhere or required to be disclosed by law. Required disclosure is limited to what is necessary, with prior notice where lawful.
This obligation continues for five years after the engagement; trade secrets and information protected by law remain protected while that status continues. Participants must use synthetic, public or appropriately anonymised demonstration data unless a specific controlled use of real data is agreed in writing. Do not upload personal data, client files, source code, credentials, API keys or other protected information to unapproved AI or cloud tools.
Audio or video recording and automatic transcription are not included by default. Any recording requires prior agreement, appropriate participant information, a lawful basis and agreed access and retention controls. Publicity, use of the customer's logo and identifiable testimonials require separate permission.
6. Personal data
Each party normally acts as an independent controller for the business contacts and training administration it determines, including attendance, assessment, certification, invoicing and legal records. The customer provides lawful information to participants about disclosure to us; we provide our own Privacy Notice. Reporting to an employer is limited to the agreed and lawfully justified training information. This clause does not confer an unrestricted right to share personal conversations, health information or detailed behavioural profiles.
If either party processes personal data solely on the other's documented instructions for a specific operation, the parties enter an Article 28 GDPR agreement before that operation begins. Jointly determined processing requires a suitable Article 26 arrangement where applicable. The actual processing, not the label in this contract, determines the role. Each party informs the other without undue delay of a relevant personal data incident and cooperates in fulfilling its own legal duties.
7. Intellectual property and AI
Our pre-existing materials, teaching methods, examples and licensed content remain with their right holders. The customer and authorised participants receive a non-exclusive, non-transferable licence to use the supplied materials for learning and internal professional development, subject to the agreed access period and third-party licences. This does not permit resale, public distribution or delivery of third-party training from our materials.
The customer's pre-existing code, data and documents remain its property. Rights in participants' original work follow applicable law and their relationship with the customer; we do not acquire them merely by teaching. Any commissioned production deliverable or wider licence requires a separate express agreement.
AI and coding exercises are educational. The customer remains responsible for approval, testing and legal and security review before operational use. This does not excuse a failure by us to deliver the promised training. No confidential customer content or identifiable participant submissions may be used by us to train a general-purpose AI model without a separate lawful and expressly agreed arrangement.
8. Liability
Each party is responsible for direct, foreseeable and proven loss caused by its breach. Subject to the exceptions below, the aggregate contractual liability of each party arising from an order is limited to the total fees payable for that order. Subject to the same exceptions, neither party is liable for indirect or consequential loss, loss of profit or loss of business opportunity.
Those limitations do not apply to fraud, intentional misconduct, gross negligence, breach of confidentiality, infringement of intellectual property rights, breach of data protection obligations, death or personal injury where limitation is prohibited, or any liability that cannot lawfully be limited. They do not limit payment obligations, repayment of amounts due or the rights of data subjects and regulators. A party is not excused from its own breach merely because a subcontractor or technical supplier was involved.
9. Duration and ending an order
The order continues until the agreed services and outstanding obligations are performed. A party may terminate for a material breach not remedied within five working days after a reasoned written notice, or a longer reasonable period where the nature of the remedy requires it. A non-remediable serious breach may justify immediate termination.
The customer may cancel an unstarted programme with at least ten working days' written notice, paying work already provided and reasonable non-recoverable commitments incurred for that order after mitigation. After the start, cancellation without our breach also requires settlement of delivered services and proven unavoidable commitments, capped at the remaining agreed fees, without double recovery. More specific cancellation terms may be expressly agreed in the order.
Where a qualifying force majeure event prevents performance, the affected party gives prompt notice and takes reasonable mitigation steps. If the material interruption lasts more than 30 calendar days, either party may terminate the unperformed part; payments for that unperformed part are refunded, subject to any separately agreed lawful allocation of unavoidable costs. Confidentiality, intellectual property, accrued payment obligations and dispute provisions continue according to their nature.
10. Notices and disputes
Operational communications use the contacts in the order. Formal notices are sent to their notified email and, where delivery is uncertain or the law requires, by another provable method. An automated failure message is not proof of receipt. A party keeps its contact details up to date.
Romanian law governs the business contract. Subject to mandatory exclusive jurisdiction and a valid express agreement to this clause, the competent courts in Cluj-Napoca, Romania have exclusive jurisdiction over disputes arising out of or in connection with it. The parties may first seek an amicable resolution, without preventing urgent relief or preservation of a limitation period. Recognition or enforcement abroad remains subject to the rules applicable in the relevant country.
11. Express acceptance of specific clauses
Where required by applicable law, the customer separately and expressly accepts section 4 on suspension for payment default, section 8 on liability limitations and exclusions, section 9 on cancellation and termination rights, and section 10 on governing law and exclusive jurisdiction. We record that specific acceptance in the signed order or a separate explicit electronic declaration referring to the version supplied. A general website visit does not constitute such acceptance. If a specific clause has not been validly incorporated, the applicable statutory rules govern that issue.
